Capital Raising & Capital Markets
- Work closely with the CFO, financial institutions, investment banks and investors to structure and execute debt and equity fundraising transactions in line with the Group‘s strategic financing requirements.
- Prepare financial analyses, valuation materials, information memoranda, management presentations and other transaction documents for financing activities.
- Coordinate due diligence, negotiations and transaction execution with internal and external stakeholders.
- Monitor developments in the capital markets and advise management on optimal funding strategies, financing alternatives and market opportunities.
Treasury & Capital Management
Develop and manage the Group‘s cash flow planning and liquidity strategy to ensure efficient capital allocation across the business.
- Optimize the Group‘s capital structure through funding strategy, banking facilities and financing arrangements.
- Build and maintain strategic relationships with banks, financial institutions and other funding partners.
- Monitor financing costs, covenant compliance, foreign exchange exposure and other financial risks, and recommend appropriate mitigation strategies.
- Support treasury initiatives to improve working capital efficiency and optimize returns on surplus cash.
Strategic Investments & Mergers & Acquisitions
- Evaluate new investment opportunities through commercial analysis, financial modelling, valuation and investment return assessment.
- Lead or participate in the execution of mergers, acquisitions, strategic partnerships and other corporate transactions.
- Coordinate financial, legal, tax and commercial due diligence with advisors and internal stakeholders.
- Support transaction structuring, negotiation, signing, completion and post-merger integration.
- Monitor portfolio performance and provide strategic recommendations to maximize shareholder value.
Investor Relations & Capital Markets Communication
- Support the development and execution of the Company‘s investor relations strategy.
- Prepare investor presentations, financial updates, business performance materials and other communications for existing and prospective investors.
- Manage shareholder communications and ensure compliance with obligations under shareholders‘ agreements and investment documentation.
- Coordinate fundraising, strategic investment and IPO-related communications with investors and advisors.
Corporate Governance & IPO Readiness
- Support the Board of Directors and General Meeting of Shareholders by preparing meeting materials, resolutions and governance documentation.
- Coordinate Board approval processes for strategic investment, financing and corporate actions.
- Ensure compliance with corporate governance requirements and prepare the Company for public company standards and future IPO readiness.
- Liaise with regulatory authorities, including the State Securities Commission, stock exchanges and other relevant authorities regarding capital market matters.
- Assist in preparing disclosure documents, regulatory filings and governance reports required under applicable regulations.
Strategic Finance Projects
- Conduct financial and strategic analyses to support key business decisions of the Board of Directors and Executive Management.
- Participate in business transformation, restructuring, strategic planning and other high-impact corporate finance initiatives.
- Work closely with cross-functional teams to drive strategic projects across the Group.
- Perform other assignments as requested by the CFO and the Board of Directors.
Candidate Requirements
- Bachelor‘s degree or above in Finance, Banking, Accounting, Economics, Business Administration or other related disciplines.
- At least 5 years of relevant experience in corporate finance, investment banking, private equity, M&A, transaction advisory or other strategic finance functions. Prior experience at a leading investment bank, private equity fund or Big Four transaction advisory practice is highly preferred.
- Strong financial modelling, valuation and analytical skills, with the ability to assess complex investment and financing opportunities.
- Proven ability to prepare high-quality investment materials and communicate effectively with senior management, shareholders, investors, financial institutions and external advisors.
- Solid understanding of capital markets, corporate finance, fundraising, M&A transactions and the related legal and regulatory framework.
- Sound knowledge of corporate governance, financial management and strategic business planning.
- Strong project management skills with the ability to coordinate multiple stakeholders and manage transaction execution under tight timelines.
- Excellent presentation, negotiation and interpersonal communication skills.
- Professional proficiency in both written and spoken English is required.
- CFA, ACA/ACCA, CPA or an overseas Master‘s degree in Finance, Economics or Business will be considered a strong advantage.
